S. RISHI
Ms. Rishi provides corporate and general business advice for small and medium-sized businesses, including general corporate matters such as counseling in the day-to-day operational activities of businesses, preparing and reviewing contracts including joint venture agreements, employment and separation agreements, independent contractor and consulting agreements, leases, confidentiality agreements, and partnership agreements, preparation of documents involved in the private placement of securities, choice of entity analysis, counseling on general employment matters, providing liaison services with other professionals such as intellectual property counsel and accountants, and providing team support in making business decisions.
She also provides legal advice in mergers and acquisitions, including negotiation and preparation of documents related to the purchase and sale of businesses, including the purchase of assets, purchase of stock, and mergers.
Ms. Rishi's practice also involves the representation of physicians and physician groups in business and healthcare transactions. Specifically, her practice includes the formation of and counseling to professional entities, including fully integrated professional corporations, partnerships and single and multiple specialty IPAs, structuring of non-professional entities providing ancillary and/or medical management services (such as out-patient imaging centers and medical management companies), mergers of medical practices, managed care contracting, hospital contracting, the purchase and sale of professional practices and related facilities, counseling on fraud and abuse, self-referral, compliance and antitrust issues as they affect healthcare providers and the sale of securities issued by entities providing healthcare services.
Ms. Rishi graduated with honors from Ohio State University College of Law in 1984. While there, she was a member of the law review. She has a Bachelor of Science degree with a major in health planning and administration and a minor in economics from the Pennsylvania State University in 1980.
Smeeta is the chairman of the Health Law Committee of the Business Section of the American Bar Association and a member of the California Society of Healthcare Attorneys. Ms. Rishi is a partner in the firm's Silicon Valley
